Terms of Service

Welcome to India Digital Marketing Private Limited ("IDM"). By accessing our website, purchasing our growth packages, or entering into a marketing retainer agreement, you agree to comply with and be bound by the following Terms of Service.

1. Agency Retainer Scope & Deliverables

IDM provides professional performance marketing management, creative production, search engine optimization, and conversion engineering as specified in the client's Statement of Work (SOW) or chosen tier (Starter Scale, Growth Accelerator, or Enterprise Dominance).

• Ad spend budgets are paid directly by the client to advertising platforms (Meta, Google, LinkedIn) unless explicitly stated otherwise.
• Creative assets produced by IDM during active retainers become client property upon settlement of corresponding invoices.
• Account ownership of Meta Business Manager and Google Ads Accounts remains 100% with the client at all times.

2. 30-Day Performance Guarantee Terms

Our 30-day performance guarantee applies to eligible retained clients on the Growth Accelerator and Enterprise tiers who meet the following qualifying conditions:

• Client provides timely creative approvals and technical access to Google Tag Manager / website CMS within 48 hours of onboarding.
• Minimum recommended monthly advertising spend (as outlined in client strategy agreement) is deployed during the evaluation window.
• Benchmark metrics are established based on verifiable trailing 90-day platform averages.

3. Payment & Billing

Agency management fees are invoiced monthly or quarterly in advance. GST of 18% is applicable for Indian registered entities. Services continue on a month-to-month basis unless a fixed-term quarterly agreement with discounted rates is executed.

4. Limitation of Liability

While IDM employs industry-leading methodologies, machine-learning bid sculpting, and top-tier creative strategies, digital advertising platforms and consumer purchase decisions remain subject to external market volatility. In no event shall IDM's aggregate liability exceed the total management retainer fee paid by the client in the preceding 60 days.

5. Governing Law & Jurisdiction

These terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka.
